Autumn teaching
On this module, you’ll explore the legal and regulatory framework of the finance and security markets.
You’ll address civil law systems in US, UK and EU law. You’ll focus on cross-border issues and where corporate assets and liabilities are located in multiple jurisdictions.
You’ll examine legal structures of modern transactions and underlying policy objectives that shape the financial law and regulation. You’ll identify and explore the most challenging issues in the post-financial crisis legal environment, particularly today’s public and private law enforcement.
You’ll explore:
- financial accounting
- disclosure
- corporate finance
- securities litigation
- mergers and acquisitions (M&As)
- corporate criminal liability and cross-border insolvency in the global financial markets
- fraud-on-the-market theory
- recent landmark cases by the US Supreme Court.

Contact hours and workload
This module is approximately 300 hours of work. This breaks down into about 30 hours of contact time and about 270 hours of independent study. The University may make minor variations to the contact hours for operational reasons, including timetabling requirements.
